Subscriber Referral Terms

Status: DRAFT — under legal review (LR-06). Version: 0.1-draft
Draft — under legal review. This text has not been cleared by counsel. It is published so that it can be read and tested before launch; it is accepted together with the Partner Terms and takes effect only when a cleared version is published. No referral fee is charged until a cleared version is in force and the Partner has provided a subscription link under it.
This document forms part of the Partner Terms. It applies where the Partner provides a link to its own subscription page (the "Subscription Link") so that readers on the Platform can subscribe to the outlet. It states what OpinVera charges for the traffic and the subscriptions that result, how each is counted, and what the Partner can check.
1. The Subscription Link
One Subscription Link may be set per claimed domain. It must be an https address on the claimed domain (a checkout hosted by a paywall vendor on another domain may be allowed from a strong claim, on request). We resolve, check and store the address as given; we strip tracking parameters from it; we do not alter where it points. The Partner may change or remove the link at any time; a removed link earns nothing from that moment.
2. The two fees
| Fee | Amount | Counted when |
|---|---|---|
| Referral click | $0.10 per counted click | A signed-in member taps Subscribe at the outlet on one of our surfaces and is redirected to the Subscription Link, subject to §3. |
| Converted subscriber | $15.00 per conversion, or 20% of the subscriber's first-year revenue — the Partner's choice, fixed when the link is set | A counted click becomes a paying subscription within thirty (30) days and the Partner reports the conversion under §4. |
Amounts are in US dollars, exclusive of taxes, and may change on thirty (30) days' notice as the Partner Terms provide. The percentage option is reported by the Partner on its honour under §4 and may be audited under §6.
3. How a click is counted
A tap is redirected through our service, which records it under a pseudonym for the member (never the member's identifier) and appends a click reference to the address it redirects to. A click is counted only if all of the following hold: the tapper is a signed-in member (a signed-out visitor is redirected and never billed); it is the member's first counted click on that outlet in thirty (30) days; the member has not exceeded three redirects to that outlet that day. A click that our fraud controls flag is counted provisionally and reviewed monthly; a click found to be automated or coordinated is removed before invoicing. The Partner never learns which member clicked.
4. How a conversion is reported
A conversion is a signed fact, reported by the Partner in one of two ways: inside the first Voter Bridge attestation the Partner issues for that subscriber, carrying the click reference; or by a signed postback to our API carrying the click reference and the time. A tracking pixel, script or cookie is not accepted and we will never ask the Partner to place one. A conversion is matched only to a counted click that is within its thirty-day window and has no conversion yet; a click reference is single-use. A reported conversion that does not match is refused and not counted; the Partner learns the count, not which report failed.
A Partner that cannot report conversions by either route is billed for counted clicks only, and its statement says so.
5. Invoicing and the statement
On the first day of each month we post two lines to the Partner's account with our payment processor — Subscriber referrals · N × $0.10 and Converted subscribers · N × fee — which appear on the next plan invoice, or on a standalone monthly invoice for an account with no plan. Each invoice is accompanied by a reconciliation statement: one row per counted click (a hashed click reference, the surface, the day) and per conversion (the conversion reference), so that every line can be checked against the Partner's own records. A line is disputed by writing to us within thirty (30) days of the invoice, naming the rows.
6. Audit
Where the Partner chose the percentage option, OpinVera may once a year ask for a statement of first-year revenue from the subscribers reported under §4, certified by an officer of the Partner. The Partner may once a year ask us to have the click and conversion ledger for its domain checked by an independent third party at OpinVera's cost if a material error is found and at the Partner's cost otherwise.
7. Conduct
The Partner will not generate, buy or solicit clicks on its own Subscription Link, will not report a conversion it did not obtain, and will not route the Subscription Link to a page that is not a subscription offer for the claimed outlet. A breach ends the referral arrangement, forfeits unpaid referral fees, and is a material breach of the Partner Terms.
8. The reader
The member who taps a Subscription Link is told, at the tap, that the outlet pays OpinVera for the referral. A referral never changes a score, a ballot or what a member sees of the outlet's rating.
