Terms of Service

Effective September 30, 2026 · Version 1.4

Welcome to OpinVera, owned and operated by ECOMO.WORLD LLC ("OpinVera," "Company," "we," "us," or "our"). Company maintains online interfaces and properties, including the OpinVera mobile application and the www.opinvera.com website (collectively, the "Platform"), offering services enabling users to create, share, vote on, and discuss polls linked to online media (collectively the "Service" or "Services").

These comprehensive legal terms ("Terms") govern your access to and use of our Platform and Services. They include the following integrated policies, which you also agree to by using the Platform:

PLEASE READ THESE TERMS CAREFULLY.

1. Acceptance of Terms

By accessing or using our Platform or Services in any way — including browsing, downloading the app, registering an account, creating polls, or voting — you acknowledge that you have read, understood, and agree to be bound by these Terms, including all policies incorporated by reference.

For users in the European Economic Area (EEA), United Kingdom, or other jurisdictions where "browsewrap" acceptance is insufficient: Your agreement to these Terms is confirmed when you affirmatively click "I Agree" or "Accept" during account registration. Continued use of the Platform after material changes to these Terms requires renewed affirmative acceptance where required by applicable law.

If you do not agree to these Terms, do not access or use our Platform or Services. You may delete our applications and exit our websites at any time.

Which terms apply to a partner account. A partner account — the business seat an organisation creates to claim its outlet, buy a plan and read reports — is governed by the Partner Terms and the documents they incorporate (the Partner Data Processing Agreement, the Corpus Consent and Licence, and the others named there), which the person creating it agrees to on the organisation's behalf in one click-through at sign-up. These Terms apply to a partner account only where the Partner Terms say so (Partner Terms §1.6 and §13). A partner account is not a member's account: it has no ballot and no voting rights, and Sections 4 (Eligibility) and 5 (User Accounts) describe member accounts. A person who also wishes to vote creates a separate member account under these Terms.

2. Agreement to Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Applicability: This arbitration agreement applies to you only if you are a resident of the United States or are otherwise subject to the Federal Arbitration Act. If you are a resident of the European Economic Area, United Kingdom, Australia, or any jurisdiction where mandatory arbitration clauses in consumer contracts are prohibited or unenforceable, this Section 2 does not apply to you, and disputes shall be resolved as set forth in Section 22.6 (Jurisdiction-Specific Dispute Resolution).

By accessing the Platform and using the Services, and where this Section applies, you irrevocably agree that all disputes between you and Company that in any way relate to these Terms or your use of the Platform or Services will be resolved by BINDING ARBITRATION on an individual basis.

ACCORDINGLY, YOU EXPRESSLY WAIVE ANY AND ALL RIGHTS TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under these Terms (except for matters that may be taken to small claims court in your county of residence). Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury. Your claims cannot be brought as a class action.

Please review Section 22 (Dispute Resolution and Arbitration Agreement) for the detailed terms of this agreement. All claims must be brought within one (1) year of the event giving rise to the claim, or within the minimum limitations period permitted by applicable law in your jurisdiction, whichever is longer.

30-Day Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to ECOMO.WORLD LLC, 1978 Watson Circle, Rochester, Michigan 48306, within thirty (30) days of first accepting these Terms. Your notice must include your name, account username, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you may pursue claims in court subject to these Terms.

3. The Platform and Our Role

3.1 Functionality

The Platform enables registered users ("Users") to:

  • Create user profiles
  • Create polls linked to online media ("Polls")
  • Vote on Polls ("Voters"). Voting power may be subject to limits, and the cost of additional votes on the same item may increase based on a proprietary formula. The general mechanics of this cost escalation will be disclosed to you within the Platform interface before each vote transaction, including the current cost of your next vote.
  • Engage with Polls and other Users (e.g., commenting, following)
  • Optionally verify their identity to obtain verified status (see Section 5.3)

3.2 Company's Role

OpinVera acts solely as a technology platform provider. Our role is expressly limited to making the Platform available and maintaining the Services.

  • We are NOT an agent, consultant, broker, financial institution, or fiduciary for any User for any purpose.
  • We are NOT responsible for the content of Polls, User Content (defined below), or the accuracy of information provided by Users.
  • We do NOT endorse any User or Poll. We do not guarantee the accuracy, legality, or reliability of any information or the outcome of any Poll.
  • We do NOT control the conduct of Users or the information they provide and expressly disclaim all liability related thereto to the fullest extent permitted by law.
  • Payment Processing: All payments flow directly through third-party Payment Processors (e.g., Stripe). OpinVera does not hold, control, or have custody of User funds at any time. We are not a payment processor, money services business, or money transmitter. See Section 9 (Payments, Fees, and Taxes).
  • No Professional Advice: Information on the Platform is not intended as financial, legal, tax, or other professional advice. Consult your own advisors before making financial decisions.
  • Dispute Assistance: We may, but are not obligated to, offer informal, non-binding mediation assistance to help resolve disputes between Users. Any such assistance is offered as a courtesy and does not constitute arbitration, adjudication, or a binding determination. Neither party is bound by any outcome of such informal mediation.

3.3 [Reserved.]

4. Eligibility

4.1 Minimum Age

You must be at least 16 years old to access or use the Platform or Services in any way, including browsing, creating an account, creating or voting on Polls, and engaging in any financial transactions.

4.2 [Reserved.]

4.3 Minors (Ages 16–17)

If you are 16 or 17 years old (or below the age of legal majority in your jurisdiction), you must have the permission of a parent or legal guardian to use the Platform, and by using it you confirm that you have that permission. A parent or legal guardian who gives it accepts these Terms on the minor's behalf. Parents and guardians are responsible for the activities of minors using the Platform with their permission.

How we check your age, stated plainly. We ask you to confirm that you are 16 or older when you create an account, and we rely on your answer. We do not operate an age-verification or parental-verification mechanism, and we do not collect a parent's or guardian's name, contact details, or identity — collecting them would mean processing more personal data about more people in order to check a claim we would still be taking on trust.

If you are a parent or legal guardian and a minor is using the Platform without your permission, contact us at support@opinvera.com and we will close the account.

4.4 [Reserved.]

4.5 Representations

By using the Services, you represent and warrant that you meet the applicable eligibility requirements stated above and that you have the legal capacity to enter into these Terms (or that your parent/guardian has accepted these Terms on your behalf).

5. User Accounts

5.1 Registration

To access most features, you must create an account. You agree to provide accurate, current, and complete information during registration and keep it updated. Providing false or misleading information is grounds for immediate account termination.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to:

  • Use a strong, unique password
  • Enable multi-factor authentication if available
  • Not share your account credentials with any third party
  • Notify us immediately at support@opinvera.com of any unauthorized use of your account or any other breach of security

We are not liable for any losses caused by your failure to secure your account, except to the extent caused by our negligence or willful misconduct.

5.3 Identity Verification

Users may choose to verify their identity through our identity verification provider (currently Stripe Identity) by submitting an image of a government-issued identity document and a selfie. Verified status affects how a User's votes are weighted when they are combined into aggregate Poll results; the methods used for voting and for calculating results, including the effect of verified status, are disclosed within the Platform interface. Identity verification is optional; declining it affects only whether your votes carry verified weight, and does not affect your access to the Service or any legal or financial entitlement. Verification data is collected and processed by the verification provider subject to its terms and to our Privacy Policy. A one-time identity verification fee applies as set out in the Fee Schedule and is payable before the verification process begins. We reserve the right to impose additional verification requirements where required by applicable law.

5.4 Data Breach Notification

In the event of a security breach that compromises your personal information, we will notify you and applicable regulatory authorities in accordance with applicable law (e.g., within 72 hours for GDPR-covered data, and per the timelines required by applicable U.S. state breach notification laws). Notification will include the nature of the breach, the data affected, and steps we are taking to remediate the issue.

6. User Content and Conduct

6.1 User Content Definition

"User Content" includes Polls (including linked media URLs and text), comments, profile information, messages, images, videos, and any other information or materials you provide, upload, post, or transmit on or through the Platform.

6.2 Your Responsibility

You are solely responsible for your User Content, its accuracy, legality, and compliance with these Terms and applicable laws. You represent and warrant that you have all necessary rights to submit your User Content and that its use by you and us (as permitted herein) does not violate any third-party rights (including copyright, trademark, privacy, or publicity rights) or applicable laws.

6.3 License Grant to OpinVera

By submitting User Content, you grant OpinVera a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, publish, adapt, and perform the User Content in connection with operating, providing, promoting, and improving the Platform and Services. This license continues for a commercially reasonable period after you remove such content or terminate your account, to the extent necessary to complete any pending operations (e.g., cached copies, backups), but we will use commercially reasonable efforts to cease active use within thirty (30) days of removal or termination. You retain all ownership rights in your User Content.

6.4 [Reserved.]

6.5 Public Nature

You understand that User Content you post publicly (e.g., Polls, public comments) is accessible to others. Do not post confidential information.

6.6 Prohibited Conduct

You agree not to:

  • Generate, upload, share, or promote Child Sexual Abuse Material (CSAM) or engage in any Child Sexual Abuse and Exploitation (CSAE). We maintain a strict, zero-tolerance policy: violators will be immediately and permanently banned and reported to the appropriate law enforcement authorities (see our Child Safety Standards).
  • Violate these Terms, including the Community Guidelines, Prohibited Content and Behavior Policy, or Restricted Content and Behavior Policy.
  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon or violate the intellectual property, privacy, publicity, or other rights of others.
  • Post false, misleading, defamatory, obscene, harassing, hateful, or otherwise objectionable User Content.
  • Engage in fraud, scams, platform manipulation (including voting manipulation), or financial crimes.
  • Use automated means (scraping, bots) to access or disrupt the Platform without permission.
  • Attempt to interfere with the security or functioning of the Platform.
  • Use the Platform in violation of U.S. export control or sanctions laws.
  • Impersonate others or misrepresent your affiliation.

6.7 Monitoring, Removal, and Appeals

We have the right, but not the obligation, to monitor, edit, or remove User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

Content Moderation Appeals (EU Digital Services Act Compliance): If your content is removed or your account is restricted, you will receive a notice explaining the reason. You may appeal the decision by contacting support@opinvera.com within thirty (30) days of the notice. Appeals will be reviewed by a person (not solely by automated means) and you will be informed of the outcome. This appeals process is without prejudice to your right to seek judicial remedies.

7. Intellectual Property Rights

7.1 OpinVera's IP

The Platform, Services, and all related content (excluding User Content), features, functionality, software, code, designs, graphics, text, images, audio, video, trademarks (including "OpinVera," a trademark of ECOMO.WORLD LLC for which a U.S. registration application is pending, and the registered trademark "Ecomo"), service marks, logos, the proprietary voting power formula, and other materials ("OpinVera Content") are owned by ECOMO.WORLD LLC or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Platform incorporates software and visual works from the Polloton codebase, which is the subject of U.S. Copyright Registration No. TXu 2-530-595 held by ECOMO.WORLD LLC; the Platform is a subset of that copyrighted work. You may not copy, modify, distribute, sell, lease, or create derivative works from any OpinVera Content without our express written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services solely for your personal, non-commercial use (or legitimate organizational use if applicable) in accordance with these Terms.

7.3 Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe your copyrighted work has been infringed on the Platform, please follow the procedures outlined in our Copyright/DMCA Policy or contact us at support@opinvera.com with a complete DMCA notice. We have a policy of terminating accounts of repeat infringers.

7.4 Fair Use

We acknowledge the doctrine of fair use under copyright law. Users are responsible for ensuring their use of third-party materials (e.g., in polls linked to media) complies with fair use or that they have necessary permissions.

7.5 App Store Acknowledgments

(a) Apple App Store. If you downloaded the OpinVera app from the Apple App Store, you acknowledge that: (i) these Terms are between you and OpinVera, not Apple, Inc. ("Apple"); (ii) Apple has no obligation to furnish maintenance or support services for the app; (iii) in the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the app; (iv) Apple is not responsible for addressing any claims relating to the app or your possession/use of the app, including but not limited to: (1) product liability claims; (2) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection, privacy, or similar legislation; (v) in the event of any third-party claim that the app infringes a third party's intellectual property rights, OpinVera, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim; (vi) Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary; and (vii) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

(b) Google Play Store. If you downloaded the OpinVera app from Google Play, you acknowledge that Google LLC ("Google") has no obligation or liability to you with respect to the app or these Terms. Google Play Store Terms of Service are additional terms that apply to your use of the app downloaded from Google Play.

8. [Reserved.]

9. Payments, Fees, and Taxes

9.1 Payment Processor

All financial transactions on the Platform (currently, payment of the identity verification fee) are processed through third-party Payment Processors (e.g., Stripe) or through the applicable app store's billing system. By engaging in transactions, you agree to the applicable processor's terms of service and privacy policy. OpinVera is not liable for the actions or performance of the Payment Processor.

9.2 Fees Charged by OpinVera

  • Account/Basic Use: Creating an account, profile, and basic poll creation/voting is free.
  • Identity Verification Fee: A one-time fee for optional identity verification, payable before the verification process begins, as set out in the Fee Schedule.
  • Fee Schedule: All applicable fees charged by OpinVera are disclosed at the point of transaction and in our Fee Schedule. Fees are subject to change with notice.

9.3 Payment Processor Fees

Our Payment Processors charge their own fees on transactions, which are separate from OpinVera's fees. You are responsible for these fees where applicable.

9.4 Taxes

Determining, reporting, and remitting any applicable taxes arising from your use of the Platform is your sole responsibility. OpinVera does not provide tax advice.

9.5 Payments Made by You

You represent and warrant that payment information you supply is accurate and that you are authorized to use the payment method. Charges incurred will be honored by your bank/card issuer.

9.6 [Reserved.]

9.7 Refunds

  • Identity Verification Fee: The identity verification fee is non-refundable where verification fails or is not completed for reasons attributable to you (for example, an abandoned session, illegible, expired, or invalid documents, or a failure to match). Where verification fails for reasons attributable to OpinVera or the verification provider (for example, a service error or outage), we will, at your choice, re-attempt verification at no additional charge or refund the fee.
  • Other Fees Paid to OpinVera: Fees paid directly to OpinVera are generally non-refundable, except as required by law or at our sole discretion.
  • EU/EEA/UK Consumer Right of Withdrawal (held ready for the rest-of-world launch; Country-Specific Provisions A.0): If you are a consumer in the EU, EEA, or UK, and the Platform is offered there, you may have a right to withdraw from a paid service within fourteen (14) days of purchase without giving a reason, unless you have expressly consented to the performance of the service beginning before the end of the withdrawal period and acknowledged that you thereby lose your right of withdrawal. Where applicable, refunds will be processed within fourteen (14) days using the same payment method.
  • App Store/Google Play Purchases: Purchases made through the Apple App Store or Google Play Store are subject to the respective platform's refund policies.

9.8 [Reserved.]

10. Privacy and Data Protection

Your privacy is important. Our Privacy Policy explains how we collect, use, store, protect, and share your personal information, including data collected through the app and website. By using the Platform, you consent to the data practices described in the Privacy Policy, including potential international data transfers necessary for providing the Service. For users in the EEA/UK, our legal bases for processing are detailed in Section 2A of the Privacy Policy.

11. Cookies

We use cookies and similar technologies. Our Cookies Policy explains what cookies are, why we use them, and how you can manage them. For users in the EEA/UK, non-essential cookies require your opt-in consent before activation.

12. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or resources (including the online media linked in Polls). These are not under our control, and we are not responsible for their content, practices, or availability. Accessing third-party resources is at your own risk. Your interactions with third parties, including payment processors and linked media sites, are governed by their respective terms and policies.

13. Browser Extension Supplement

13.1 Scope

The OpinVera browser extension is part of the Platform, and these Terms (including all incorporated policies) govern its use. The extension marks recognized articles as you browse and lets you open Polls, create Polls for unlisted articles, and vote directly from the page.

13.2 Extension Data

The extension's data operations — the anonymous recognized-article lookup, the headline and image address sent when you submit an unlisted article, and the optional, switchable aggregate usage statistics — are described in Section 2B of the Privacy Policy, which is the authoritative description of what the extension collects.

13.3 License and Store Terms

Your use of the extension is licensed under Section 7.2. If you obtained the extension from a browser vendor's store (e.g., the Chrome Web Store or Firefox Add-ons), that store's terms apply additionally as third-party terms; the vendor is not a party to these Terms and has no obligations to you regarding the Service.

13.4 Your Controls

You may switch off optional usage statistics in the extension's settings at any time, and you may uninstall the extension at any time through your browser, which immediately ends its data operations. Uninstalling the extension does not affect your account.

13.5 Compatibility and Changes

We do not warrant compatibility with every browser or browser version and may update, limit, or discontinue the extension in accordance with Sections 14 and 21.

14. Termination

14.1 By You

You may terminate your account at any time through your account settings or by contacting us at support@opinvera.com.

14.2 By OpinVera

We reserve the right to suspend or terminate your access to the Platform or Services, remove your User Content, and take other appropriate action for cause, including but not limited to:

  • Material violation of these Terms or incorporated policies.
  • Conduct that we reasonably deem harmful to OpinVera, other Users, or third parties.
  • Requests by law enforcement or government agencies supported by valid legal process.
  • Extended periods of inactivity (12+ months with prior notice).
  • Security or technical issues that cannot be resolved.

Notice: Except where immediate action is required to prevent harm (e.g., illegal activity, security threats), we will provide you with reasonable notice prior to termination and an opportunity to cure any curable violation. For EU/EEA users, we will provide at least 30 days' notice where feasible and a statement of reasons, in accordance with the EU Digital Services Act.

14.3 Effect of Termination

Upon termination:

  • Your right to use the Services ceases immediately.
  • We may delete your account data after a reasonable retention period, subject to applicable data retention obligations and your data portability rights.
  • Data Portability: You may request a copy of your personal data in a structured, commonly used, machine-readable format prior to or within 30 days following termination.
  • Sections concerning IP ownership, disclaimers, liability limitations, indemnification, dispute resolution, and payment obligations accrued prior to termination shall survive.

15. Disclaimer of Warranties

THE PLATFORM, SERVICES, OPINVERA CONTENT, AND ALL USER CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, OPINVERA DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, OR UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT ENDORSE OR GUARANTEE THE ACCURACY, TRUTHFULNESS, OR LEGALITY OF ANY USER CONTENT OR POLLS. YOU USE THE PLATFORM AT YOUR OWN RISK.

CONSUMER PROTECTION CARVE-OUT: If you are a consumer in the European Union, European Economic Area, United Kingdom, Australia, or another jurisdiction that provides mandatory statutory consumer warranties or guarantees that cannot be excluded, nothing in this section limits or excludes those warranties or guarantees. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECOMO.WORLD LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE PLATFORM OR SERVICES, OR ANY USER CONTENT, TRANSACTIONS, OR INTERACTIONS FACILITATED THROUGH THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OPINVERA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES, IF ANY, PAID BY YOU TO OPINVERA IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

JURISDICTIONAL EXCEPTIONS: The limitations and exclusions in this section apply only to the fullest extent permitted by applicable law. In jurisdictions that do not permit the exclusion or limitation of certain types of liability (including the European Union, United Kingdom, and Australia), our liability shall be limited to the maximum extent permitted under applicable mandatory law. Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless ECOMO.WORLD LLC, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) Your access to or use of the Platform or Services; (b) Your User Content (including its accuracy, legality, and infringement of third-party rights); (c) Your violation of these Terms or any incorporated policy; (d) Your violation of any applicable law or regulation; (e) Your interactions or transactions with other Users or third parties (including Payment Processors); (f) Any activity occurring under your account credentials.

Consumer Limitation: If you are a consumer (as defined by applicable law) in the European Union, European Economic Area, United Kingdom, or Australia, this indemnification obligation applies only to the extent that your actions constituted willful misconduct, gross negligence, or a material breach of these Terms, and only to losses that were reasonably foreseeable.

18. Governing Law

These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. This choice of law does not deprive consumers in the EU/EEA, UK, or Australia of the protection afforded by mandatory provisions of the law of their country of habitual residence.

19. International Use

The Platform is controlled and operated from the United States, and at launch it is offered in the United States only (see the Country-Specific Provisions, A.0): the apps are listed on the United States storefronts, the browser extension is distributed in the United States, and the partner surfaces are offered to organisations in the United States. We intend to open the Platform to further countries later and will announce each opening as Section 21 provides. We make no representation that the Platform is appropriate or available for use outside the U.S. Accessing the Platform from jurisdictions where its content or use is illegal is prohibited. If you access the Platform from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws. You agree to comply with all applicable laws regarding the transmission of technical data exported from the U.S. or your country of residence. You represent that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals and Blocked Persons List.

20. Accessibility

We strive to ensure that our Platform is accessible to users with disabilities. We aim to comply with the Web Content Accessibility Guidelines (WCAG) 2.1 at Level AA. We are committed to ongoing improvement and welcome feedback on accessibility. If you encounter accessibility barriers, please contact us at support@opinvera.com and we will make reasonable efforts to address the issue.

21. Amendments to Terms

We reserve the right to modify these Terms (including any incorporated policies) at any time. We will post the revised Terms on the Platform and update the "Effective Date." If we make material changes, we will provide reasonable notice (e.g., via email or a notice on the Platform) at least thirty (30) days before the changes take effect.

For users in the EU/EEA/UK: Material changes affecting our data processing practices will require your renewed affirmative consent where required by applicable law. If you do not agree to the revised Terms, you may terminate your account and request deletion of your data before the changes take effect.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes (except where affirmative consent is required). Please review the Terms periodically.

A changelog of all material modifications is maintained at www.opinvera.com/assets/legal/changelog.html.

22. Dispute Resolution and Arbitration Agreement

22.1 Informal Resolution

We will try in good faith to resolve issues brought to our customer service department (support@opinvera.com).

22.2 Binding Arbitration

You and Company agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms or your use of the Platform, including payments made for products and services offered through the Platform, shall be determined by binding arbitration instead of in courts of general jurisdiction. This Section 22.2 through 22.5 applies only where the arbitration agreement in Section 2 is applicable to you (i.e., it does not apply to residents of the EU/EEA, UK, Australia, or other jurisdictions where mandatory consumer arbitration is prohibited — see Section 22.6).

Arbitration is more informal than bringing a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury and is subject to very limited review by courts. Arbitration allows for more limited discovery than in court; however, you and Company shall cooperate with each other to agree to reasonable discovery in light of the issues involved and amount of the claim. Arbitrators can award the same damages and relief that a court can award, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court, including without limitation, the law on punitive damages as applied by the U.S. Supreme Court. You agree that, by agreeing to these Terms, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision and that you and Company are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms and any other contractual relationship between you and Company.

22.3 Arbitration Procedure

If you desire to assert a claim against Company and therefore elect to seek arbitration, you must first send to Company, by certified mail, a written notice of the claim ("Notice"). The Notice to Company should be addressed to: ECOMO.WORLD LLC, 1978 Watson Circle, Rochester, Michigan 48306 ("Notice Address"). If Company desires to assert a claim against you and therefore elects to seek arbitration, it will send, by certified mail, a written Notice to the most recent address we have on file or otherwise in our records for you. A Notice, whether sent by you or by Company, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought. If Company and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or Company may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by Company or you shall not be disclosed to the arbitrator. You may download or copy a form Notice and a form to initiate arbitration from the American Arbitration Association at www.adr.org. If you are required to pay a filing fee, after Company receives notice at the Notice Address that you have commenced arbitration, it will promptly reimburse you for your payment of the filing fee, unless your claim is for more than US $10,000. The arbitration will be governed by the Consumer Arbitration Rules ("AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by requesting them from us by writing to us at the Notice Address. The arbitrator is bound by the terms of these Terms. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of these Terms, including this arbitration agreement. Unless Company and you agree otherwise, any arbitration hearings will take place in the county (or parish) of your billing address. (If you reside outside of the United States, any arbitration hearings will take place in your country of residence at a location reasonably convenient to you, but will remain subject to the AAA Rules including the AAA Rules regarding the selection of an arbitrator). If your claim is for US $10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. If the arbitrator issues you an award that is greater than the value of Company's last written settlement offer made before an arbitrator was selected (or if Company did not make a settlement offer before an arbitrator was selected), then Company will pay you the amount of the award or US $1,000, whichever is greater. Except as expressly set forth herein, the payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. Each party shall pay for its own costs and attorneys' fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a written agreement providing for payment or recovery of attorneys' fees, the arbitrator may award reasonable fees to the prevailing party under the standards for fee shifting provided by law.

22.4 Class Action Waiver

YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Company agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. This class action waiver applies only in jurisdictions where it is enforceable.

22.5 Severability

If this specific provision is found to be unenforceable, then (a) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms shall remain in full force and effect; and (b) exclusive jurisdiction and venue for any claims will be in state or federal courts located in and for Wilmington, Delaware.

22.6 Jurisdiction-Specific Dispute Resolution

The provisions of this Section 22.6 are held ready for the rest-of-world launch and apply from the day the Platform is offered in the region they name (Country-Specific Provisions, A.0). They are set out now so that nothing in Sections 22.2 through 22.4 is read as applying to a consumer whose mandatory law forbids it.

(a) EU/EEA Consumers. If you are a consumer residing in the EU/EEA, the mandatory arbitration and class action waiver provisions in Sections 22.2 through 22.4 do not apply to you. You may bring proceedings in the courts of the EU member state in which you are domiciled. You may also refer eligible disputes to a national consumer alternative dispute resolution (ADR) entity; a list of dispute resolution bodies in the Member States is available at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies. Mandatory consumer protection laws of your country of residence shall apply to the extent they provide greater protection than Delaware law.

(b) UK Consumers. If you are a consumer residing in the United Kingdom, the mandatory arbitration and class action waiver provisions in Sections 22.2 through 22.4 do not apply to you. You may bring proceedings in the courts of England and Wales (or Scotland or Northern Ireland, if applicable). Mandatory UK consumer protection laws shall apply.

(c) Australian Consumers. If you are a consumer residing in Australia, the mandatory arbitration and class action waiver provisions in Sections 22.2 through 22.4 do not apply to you. Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

23. Force Majeure

OpinVera shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics or epidemics, government actions or orders, power or internet outages, cyberattacks, or failures of third-party service providers (including Payment Processors and app stores). We will use reasonable efforts to mitigate the effect of any force majeure event and will resume performance as soon as practicable. If a force majeure event continues for more than sixty (60) days, either party may terminate these Terms upon written notice.
